Insurance registration in GIFT IFSC is governed by the International Financial Services Centres Authority (IFSCA), rather than the Insurance Regulatory and Development Authority of India (IRDAI). Section 118A of the Insurance Act, 1938, inserted by the IFSCA Act, withdraws the IRDAI’s regulatory powers within the IFSC. The key framework is the IFSCA (Registration of Insurance Business) Regulations, 2021, consolidated in July 2026 following amendments, including those introduced by the Managing General Agents Regulations, 2026. These regulations govern IFSC Insurance Office (IIO) registration, eligibility, capital requirements and solvency obligations for insurers and reinsurers operating in GIFT IFSC.

What an IFSC Insurance Office (IIO)?

An IFSC Insurance Office (IIO) is the registered vehicle through which insurance or reinsurance business is carried on in the IFSC. No person may commence the business of insurance or reinsurance in an IFSC without registration.

The regulations contemplate several structures:

an Indian insurer setting up a place of business in the IFSC;

a foreign insurer or foreign reinsurer setting up a branch office in unincorporated form;

Lloyd’s, including through “Lloyd’s India”;

a public company, a wholly owned subsidiary of an insurer or reinsurer, an insurance co-operative society, or a body corporate setting up an incorporated IIO, which must be a company limited by shares; and

related offices and service providers addressed by separate frameworks, including insurance intermediary offices and, since 2026, managing general agents (Article 31).

For unincorporated structures, the regulations require board-level undertakings from the applicant, including on assigned capital, and the submission of the reporting structure of officials. The applicant entity and its promoters, partners or controlling shareholders must satisfy fit-and-proper requirements.

The Registration Process

An applicant, including Lloyd’s, applies in the specified form. If satisfied, IFSCA grants a certificate of registration, which remains valid unless suspended or cancelled. If IFSCA is of the opinion that registration cannot be granted, it must communicate the deficiencies and give thirty days to rectify them. Refusal follows only if the deficiencies are not cured, and only after giving the applicant an opportunity to be heard.

A registered IIO may carry on the classes of business for which it is registered. The applicant must opt for its class of business at the time of application, and a branch of a foreign insurer or reinsurer is permitted to transact only such class of business as specified. An IIO may not engage in any business other than that for which it is registered, and must conduct its business in freely convertible foreign currencies, subject to the conditions in the regulations.

An IIO may render other insurance or reinsurance related services, but only with prior approval from IFSCA.

Capital: Four Distinct Requirements

Regulation 17 assembles the financial requirements, and it is important to see that they apply to different structures rather than cumulatively to all.

Requirement

Who it applies to

Content

Net Owned Funds

A foreign company carrying on reinsurance business through an IFSC branch

Compliance with the NOF requirement under section 6(3) of the Insurance Act, 1938, demonstrable in any freely convertible foreign currency, and maintained at all times during the validity of the certificate. Where the applicant is not a public company, NOF is as specified by IFSCA

Assigned capital

An Indian insurer setting up a place of business, and a foreign insurer, foreign reinsurer or Lloyd’s setting up a branch

Minimum equivalent to USD 1.5 million in a freely convertible foreign currency, earmarked and held in the home country or country of incorporation or domicile, invested as required by the home regulator, and maintained at all times, together with any additional assigned capital mandated by IFSCA

Paid-up equity capital

A public company, wholly owned subsidiary of an insurer or reinsurer, insurance co-operative society or body corporate seeking registration

Compliance with the paid-up equity capital requirement under section 6(1) of the Insurance Act, 1938

Solvency margin

An IIO set up as a place of business of an Indian insurer, or a branch of a foreign insurer, reinsurer or Lloyd’s

The solvency margin stipulated by the home country regulatory or supervisory authority

Two features of this design are worth drawing out.

Home-country anchoring. For branch structures, both the assigned capital and the solvency margin are anchored to the home jurisdiction: the capital is held and invested there, and the solvency test is the home regulator’s. IFSCA supervises the IFSC operation while relying on home-country prudential standards, in a manner comparable to the banking framework’s treatment of an IBU (Article 16).

Statutory cross-reference. NOF and paid-up capital are not free-standing IFSC numbers. They are the Insurance Act figures, applied in the IFSC. Any change in the Insurance Act therefore flows through to the IFSC requirement.

Direct Insurance and Reinsurance

The regulations treat the two differently. An IFSC Insurance Office (IIO) registered to transact direct insurance business may do so within the limits and on the conditions specified, and is subject to restrictions on writing direct insurance business in the circumstances the regulations identify, by reference to the Insurance Act, 1938. For reinsurance business, the regulations impose their own conditions on the IIO.

Because these provisions define the commercial scope of an IIO’s licence, an applicant should map its intended book, direct or reinsurance, treaty or facultative, and by class, against the registration it seeks before filing. The class of business is fixed at application, and a change requires engagement with IFSCA rather than a business decision.

The 2026 Realignment for Managing General Agents

Before June 2026, the 2021 Regulations contained references to MGAs: a proviso under the NOF requirement dealing with the case where the applicant was an MGA, and an assigned-capital provision that included an MGA among the entities required to maintain USD 1.5 million. Both were omitted with effect from 12 June 2026 by the IFSCA (Managing General Agents) Regulations, 2026.

The omission is not deregulation. It reflects the move of MGAs into a dedicated framework with its own, and different, capital requirements (Article 31). Anyone working from a pre-2026 version of the 2021 Regulations will find requirements that no longer apply.

Operating Obligations to Read Alongside

The registration regulations are only part of the insurance rulebook for GIFT IFSC. Operating requirements sit in separate instruments, including IFSCA’s guidelines on the operations of IIOs, and regulations on investment by IIOs, solvency and actuarial reporting for life and general business, insurance products and pricing, manner of payment and receipt of premium, maintenance of records, appointed actuary, and market conduct. A complete compliance map therefore requires reading the registration regulations together with those instruments, as amended.
