Reinsurance in GIFT City IFSC faces two regulators, though not at the same time. Its own licence, capital and conduct are governed by IFSCA. But whether an Indian insurer may cede business to it, and in what order of priority, is governed by the IRDAI, because the cedant sits in the domestic market. This is one of the clearest examples in the GIFT IFSC framework of a regulated entity whose commercial prospects depend on rules made by a regulator that does not regulate it.

The IFSC Side: The 2023 Re-Insurance Regulations

The IFSCA (Re-Insurance) Regulations, 2023 apply to IFSC Insurance Offices. Regulation 12 disapplies the IRDAI (Re-insurance) Regulations, 2018 and the circulars and guidelines issued under them, with savings for anything already done, and requires existing IIOs to comply with any additional requirements within the specified period.

The operative obligations are structural rather than quantitative.

Reinsurance strategy and programme. Every IIO must develop and document a Re-insurance Strategy and Re-insurance Programme (RSRP) relevant to its operations, covering management responsibilities and controls, including reinsurance management systems, and must ensure it has sufficient resources to meet its business obligations. An IIO that cedes or retrocedes risk must document risk concentration levels. The board approves the RSRP for each accounting year within the timelines IFSCA specifies, and for an unincorporated IIO the parent entity provides the required details. The approved RSRP must be submitted to IFSCA when directed.

Risk transfer. A contract classified as reinsurance must meet the risk-transfer requirements for the accounting year. An arrangement that does not is to be treated as a financial transaction and accounted for accordingly. This is the standard discipline against finite reinsurance used for balance-sheet effect rather than risk transfer.

Retention. Every IIO must formulate a segment-wise retention policy approved by its board, and must maximise retention commensurate with its financial strength and the quality of the risk. IFSCA may require an IIO to justify its retention policy and may issue directions, and IIOs must comply with minimum retention requirements as IFSCA specifies.

Pools and reporting. The regulations provide for insurance pools, including constitution and appointment of an administrator, and require the IIO to furnish information on inward and outward reinsurance.

The Indian Side: The Order of Preference

An Indian cedant’s ability to place business is governed by the IRDAI’s reinsurance framework. The IRDAI (Re-insurance) (Amendment) Regulations, 2023, notified on 22 August 2023, restructured the “order of preference” for cessions, reducing it from six levels to four:

Preference

Category

1

Indian reinsurers

2

IIOs that invest 100% of retained premiums emanating from insurers in India in the domestic tariff area, and foreign reinsurance branches

3

Other IIOs

4

Other Indian insurers (in respect of per-risk facultative placements) and cross-border reinsurers

Two consequences follow for a GIFT IFSC reinsurer.

The IFSC has a preferred, but conditional, position. An IIO ranks above cross-border reinsurers, and can rank alongside foreign reinsurance branches, but only if it satisfies the domestic-investment condition. An IIO that does not invest 100% of retained premiums from Indian insurers in the domestic tariff area falls to the third tier.

The condition is an investment condition, not an underwriting one. It concerns where retained premium is deployed, which makes the IIO’s investment policy a market-access question as much as a prudential one. The relevant investment framework on the IFSC side is IFSCA’s regulations on investment by IIOs.

A note on verification: the text of the amended order of preference has been verified against the amendment regulations as reproduced in published professional commentary. The Gazette text was not retrievable directly during research for this article. Because the order of preference has been reviewed periodically, a cedant or reinsurer should confirm the current position against the IRDAI’s regulations and the IRDAI Master Circular on Reinsurance before placing business.

What This Means in Practice

Reinsurance in GIFT City IFSC is governed by two regulatory frameworks. IFSCA regulates IFSC Insurance Offices (IIOs), while IRDAI determines the order of preference for Indian insurers placing reinsurance business. Understanding both is essential to assess regulatory compliance and market access for IFSC reinsurers.

For an Indian insurer, the order of preference governs the sequence in which offers must be made, and the documentation of that sequence forms part of its reinsurance compliance. Placing with an IIO does not remove the need to work through the preference structure.

For an IIO writing inward business from India, three questions decide competitiveness: whether it meets the second-tier investment condition; whether its retention policy satisfies IFSCA’s requirements while leaving capacity to write; and whether its RSRP supports the concentration it is accumulating.

For a cross-border reinsurer, the fourth-tier position is the reason many international groups have considered an IFSC presence. The commercial question is whether the additional obligations of an IIO, including capital, retention and the domestic-investment condition for tier two, are justified by the improvement in access.

Two Frameworks, One Transaction

Reinsurance in GIFT City IFSC involves compliance with two regulatory frameworks. IFSCA regulates IFSC Insurance Offices (IIOs), while IRDAI governs Indian insurers’ reinsurance placements and the applicable order of preference. Each transaction must meet the Indian insurer’s obligations under IRDAI regulations and the IIO’s requirements for risk transfer, retention and reporting.

For transactions involving insurance pools or retrocession from GIFT IFSC, both frameworks must be considered before the contract is finalised. IIOs must also comply with applicable IFSCA requirements for inward and outward reinsurance.
